Seven stages, one record

Each stage has gates to pass, documents that get produced and hashed, and the money it opens up. Pick a stage to see what it needs.

Why sponsors choose us

Built for the US offering, not adapted to it

Most tokenization tools start with the token and add the law later. We started with the exemption rules, then built the token, the back office and the investor portal around them.

Your brand

Your name, colors and domain on every page, email and statement. Investors see your company, not ours.

US securities rules in the contract

Accreditation, holding periods, investor caps and the US-person rule are checked by the token on every mint and transfer.

Automation

Distributions, redemption windows and Form D and state filing deadlines run from one back office, with a record of each step.

Security

Role-based access, MFA for every admin, a hash-chained audit log, and contract roles planned for shared wallets with signer thresholds.

The platform

Four tools, one record

The back office, token engine, investor portal and page builder share one set of data. A change in one shows up in the others.

01 · Back office

Run every offering from one screen

Projects, phases, investors, the cap table, payouts and filings live in one place, with roles for each person on your team.

  • Projects, phases, sale stages and pricing
  • Investor onboarding queue with KYC, OFAC and accreditation status
  • Form D and state notice deadlines with reminders
  • Hash-chained audit log of every admin action
Explore the back office
02 · Token engine

Tokens that check the rules themselves

Each offering gets its own ERC-3643 token on Base. Only verified holders can receive it, and the exemption's limits are enforced on chain.

  • Identity registry: no claim, no tokens
  • Accreditation, country and holding-period rules per offering
  • Per-offering mint cap and reason codes on every burn
  • Owner, agent, compliance and pauser roles, each planned for a shared wallet
See the token engine
03 · Investor dashboard

A portal your investors will actually open

Holdings, payouts, lock dates, documents and support in one place, under your brand, on any device.

  • Portfolio value and payout history
  • Lock end dates shown on every holding
  • Statements and tax documents to download
  • Support tickets with file attachments
Tour the investor dashboard
04 · Landing pages

An offering page in an afternoon

Drag in photo galleries, phase inventory, sale stages, return calculators and the document room. Every figure comes from the back office, so the page never drifts.

  • Blocks for galleries, site plans, maps and FAQs
  • Live phase status and sale-stage pricing
  • Risk factors and legal disclaimer blocks built in
  • One subdomain per offering, on your domain

Ways to invest

From one share to the whole campus

Every project shows who can take part and at what level. Small entries run under the federal crowdfunding and Reg A rules, larger stakes under Reg D, and a whole campus or one phase can be bought outright.

What you can fund

More than one building. Every layer of a data center.

Hyperscale and enterprise campuses

Multi-phase campuses, underwritten on power, fiber and contracted capacity.

Modular and edge facilities

Prefabricated halls and edge sites, funded one phase at a time.

New construction

Construction notes with draws released only against inspections and lien waivers.

Powered land

Sites with utility capacity or a place in the interconnection queue, held until they are built on or sold.

On-site solar and storage

Generation and batteries beside the load, often paired with C-PACE financing where a county program allows it.

Substations and interconnection

The grid upgrades and studies a utility needs before it energizes a site.

Cooling and heat reuse

Liquid cooling, water systems and heat recovery for the halls.

Opportunity Zone projects

Sites inside designated zones. Tax treatment is a question for each investor's own adviser.

How projects get funded

Mix the capital the project needs

Each project page shows its own capital stack: which sources fund it, in what amounts, and in what order they are repaid.

Token equity

Membership interests sold as tokens under Reg D 506(c) to verified accredited investors, or under 506(b) to accredited investors and up to 35 non-accredited purchasers in any 90-day period, without general solicitation.

Fractional equity

Entries from $100 under Reg CF through a funding portal, or Reg A once qualified.

Construction notes

Token debt with a fixed coupon, repaid from the sale or refinance of the project.

Senior bank loan

A lender in first position next to the tokens, which hold the equity.

Preferred equity

Paid after the debt and before common equity, for investors who want a steadier position.

C-PACE financing

Commercial PACE financing for energy and resilience improvements, repaid through a special assessment on the tax bill where the county program allows it.

Opportunity Zone fund

A fund that invests in projects inside a zone. Investors confirm any tax effect with their own adviser.

Whole-asset sale

A buyer takes the entire campus, or one phase, in a direct sale of the project through a licensed broker.

Who builds on Data Center Funding Path · prepared for Data Shelter

Developers, land owners, operators, energy partners, funds and lenders use the same engine with different rules switched on.

How a US offering runs

Eight steps, in order

The platform tracks each step and will not let a later one start before the earlier one is done.

  1. STEP 01

    Form the SPV

One LLC per project or fund, so each offering's assets and risks stay separate.

  2. STEP 02

    Choose the exemption

Reg D 506(b) or 506(c), Reg A+ or Reg CF. The choice sets who can buy and how you can market.

  3. STEP 03

    Anchor the documents

Offering documents are hashed with LPS-1 (SHA-256), so anyone can check a file was not changed.

  4. STEP 04

    Onboard investors

KYC, OFAC screening and accreditation checks, then an identity claim the token can read.

  5. STEP 05

    Fund by ACH or USDC

Money goes to a bank, escrow or qualified third-party account for the offering, never to the platform. Tokens mint only after it clears.

  6. STEP 06

File Form D and state notices

Form D within 15 days of the first sale, plus each state's notice filing, tracked with due dates.

  7. STEP 07

    Keep the holder record

An SEC-registered transfer agent keeps the official record of who holds what.

  8. STEP 08

    Pay out, then allow resale

Distributions run on schedule. After the lock ends, resale goes through a licensed broker-dealer or ATS.

A funding path for Data Shelter

This site walks a Tier IV data center project from genesis to funded, with each claim labeled as stated by Data Shelter or shown by a record.
